1. Agreement to Terms
These Terms of Service ("Terms") constitute a binding legal agreement between you ("Customer" or "You") and RiskRegisterHQ ("Software Provider" or "I"). By accessing, subscribing to, or using RiskRegisterHQ Cloud (the "Service" or "Software"), you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Service.
Entity: RiskRegisterHQ is an individual software provider offering Software-as-a-Service (SaaS) solutions.
2. Service Description
RiskRegisterHQ Cloud is a cloud-based Software-as-a-Service (SaaS) application designed for risk management and risk register management. The Service allows you to:
- • Create and manage risk registers
- • Track, document, and analyze business risks
- • Generate risk reports and dashboards
- • Manage team access and permissions
- • Export and backup your risk data
The Service is provided on an annual subscription basis. Billing is processed through Paddle, a third-party payment processor.
3. License Grant
Subject to full payment and compliance with these Terms, I grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use RiskRegisterHQ Cloud solely for your authorized business purposes.
You may NOT:
- • Copy, modify, or create derivative works of the Software
- • Reverse engineer, decompile, disassemble, or translate the Software
- • Rent, lease, sell, or transfer your license to others
- • Remove or alter any proprietary notices or labels
- • Use the Software for competing services or products
- • Use the Software for benchmarking or competitive analysis
4. Account & Registration
You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities conducted under your account. You must notify me immediately of any unauthorized access or breach.
Account Requirements: You must provide accurate, current, and complete information during registration. You represent and warrant that:
- • You are at least 18 years old
- • You have the legal authority to enter this agreement
- • All information provided is true and accurate
- • You will keep your information up to date
5. Prohibited Activities
You agree NOT to use RiskRegisterHQ Cloud for:
- • Any illegal or unauthorized purpose
- • Harassment, abuse, or threatening behavior toward me or other users
- • Transmission of viruses, malware, or harmful code
- • Unauthorized access to the Software or its systems
- • Data scraping or automated data extraction without permission
- • Creating excessive load or intentionally disrupting service availability
- • Violating any applicable laws, regulations, or third-party rights
- • Commercial resale or transfer of access to other parties
- • Competitive analysis, benchmarking, or performance testing
- • Integrating with unauthorized third-party services
6. Pricing & Billing
Subscription Cost: RiskRegisterHQ Cloud is billed at $3,999 USD per year.
Billing Frequency: You will be charged annually in advance at the start of each billing period. Auto-renewal occurs automatically unless you cancel.
Price Changes: I may change pricing with 30 days' notice. Price changes apply to future renewal periods only. Your continued use after the notice period constitutes acceptance.
Taxes: You are responsible for any applicable sales, use, VAT, GST, or other taxes. I will collect and remit taxes as required by law.
Billing Disputes: You must report billing errors within 30 days. I will investigate and resolve billing disputes promptly.
7. Payment Terms
Payment Processor: All payments are processed through Paddle (https://paddle.com), a certified payment processor. Paddle handles payment processing, PCI compliance, and payment security.
Authorization: By subscribing, you authorize recurring charges to your payment method for each billing period. Paddle will charge you automatically unless you cancel before the renewal date.
Failed Payments: If a payment fails:
- • Paddle will attempt to retry payment up to 3 times over 10 days
- • You will receive email notification of failed payment
- • Your account access may be limited
- • After 30 days unpaid, your subscription will be automatically suspended/canceled
Payment Method Updates: You are responsible for keeping your payment method current. Update your payment details immediately upon notification of failure.
8. Refund Policy
Policy Summary: RiskRegisterHQ Cloud operates on an annual subscription with limited refund eligibility. Please review this policy carefully before purchasing.
Paddle Payment Processing & Refund Governance
Payment Processor: RiskRegisterHQ uses Paddle (https://paddle.com) for all payment processing, billing, subscriptions, and refund handling. Paddle is our certified payment processor.
Refund Policy Governance: All refunds are subject to Paddle's Refund Policy, which is available at: https://www.paddle.com/legal/refund-policy
Conflict Resolution: In the event of any discrepancy or conflict between this Terms of Service refund policy and Paddle's refund policy, Paddle's refund policy shall take precedence. You may also contact Paddle directly at hello@paddle.com for refund inquiries or disputes.
30-Day Money-Back Guarantee
If you are not satisfied with RiskRegisterHQ Cloud within 30 days of your initial purchase, you may request a full refund, no questions asked.
- • Applies only to first-time subscribers
- • Must be requested within 30 calendar days of subscription start date
- • Email support@riskregisterhq.com with "Refund Request" in subject line
- • Include your account email and reason for refund (optional)
Refund Eligibility After 30 Days
After the initial 30-day period, refunds are not available for:
- • Partial billing periods or unused subscription time
- • Feature dissatisfaction or missing features
- • Cancellation requests
- • Change of mind or business decisions
Legal Refunds (Consumer Protection)
If you are in a jurisdiction with consumer protection laws (GDPR, CCPA, etc.) that grant refund rights, you may be eligible for a refund. Refunds under consumer protection laws are also subject to Paddle's refund policy. To request:

- • Include jurisdiction, relevant law, account email, and transaction date
- • Include the reason for your refund request
- • I will review and respond within 5 business days
Refund Processing (Via Paddle)
All approved refunds are processed by Paddle to your original payment method. Processing timelines are determined by Paddle and typically take 5-10 business days depending on your payment method and financial institution. Your account access will be suspended immediately upon refund approval by Paddle.
Refund Status: You can check your refund status through your Paddle account or by contacting Paddle directly at hello@paddle.com.
Non-Refundable Items
The following are explicitly non-refundable:
- • Taxes and payment processing fees
- • Data export or migration services
- • Setup or onboarding fees (if any)
- • Promotional or discounted subscriptions
No Refunds for Early Cancellation
You will not receive a refund if you cancel during your subscription period. Your access continues until the end of the billing period regardless of cancellation date. No partial month refunds are issued.
Chargeback & Dispute Policy
If you request a refund through your payment method or credit card company (chargeback) instead of contacting me directly, your account will be immediately suspended and permanently closed. Chargebacks incur processing fees that you may be liable for.
9. Cancellation & Subscription Management
Paddle Managed: Your subscription, billing, and cancellation are managed through Paddle. All cancellation requests are processed by Paddle.
Right to Cancel: You may cancel your RiskRegisterHQ Cloud subscription at any time without penalty. Cancellation takes effect at the end of your current billing period as managed by Paddle.
How to Cancel:
- • Log in to your account and navigate to Settings → Billing → Cancel Subscription, OR
- • Email support@riskregisterhq.com with "Cancel Subscription" in the subject line
Auto-Renewal: Your subscription automatically renews at the end of each billing period. You will not be charged again after cancellation. You will receive a cancellation confirmation email.
Data After Cancellation: See the Cancellation Policy and Privacy Policy for details on data retention and deletion.
10. Intellectual Property Rights
Software Ownership: RiskRegisterHQ Cloud, including all code, design, functionality, documentation, and features, is owned entirely by me. All intellectual property rights are reserved.
License Limitations: Your license is limited to using the Software as provided. You acquire no ownership interest in the Software.
Feedback: Any feedback, suggestions, or ideas you provide about RiskRegisterHQ Cloud may be used by me without compensation or attribution. By providing feedback, you grant me a perpetual, irrevocable, worldwide license to use it.
11. Your Content & Data
Data Ownership: You retain all ownership rights to your risk register data and content ("Your Data"). I do not claim ownership of Your Data.
Grant of Rights: By using RiskRegisterHQ Cloud, you grant me a limited license to process, store, backup, and maintain Your Data solely for providing the Service.
Restrictions on Your Data: You agree not to:
- • Upload illegal, malicious, or harmful content
- • Store content that violates third-party intellectual property rights
- • Exceed your storage quota (if applicable)
- • Share Your Data with unauthorized parties through the Software
Data Deletion: Upon account cancellation, Your Data is retained for 30 days. After 30 days, Your Data is permanently deleted unless legally required to retain it.
12. Disclaimers
AS-IS BASIS: RISKREGISTERHQ CLOUD IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.
NO WARRANTIES: I EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING:
- • MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
- • NON-INFRINGEMENT OR TITLE
- • ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
SERVICE AVAILABILITY: I do not guarantee:
- • Uninterrupted access or 100% uptime (99.9% target, not guaranteed)
- • Error-free operation or absence of defects
- • That defects will be corrected
- • Absence of viruses or harmful code
Third-Party Services: I am not responsible for third-party services integrated with RiskRegisterHQ Cloud, including Paddle payment processing.
13. Limitation of Liability
LIMITATION OF DAMAGES: IN NO EVENT SHALL I BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF I HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LIABILITY CAP: MY TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO ME IN THE 12 MONTHS PRECEDING THE CLAIM, OR $250 USD, WHICHEVER IS GREATER.
DATA LOSS: I am NOT liable for any loss, corruption, or damage to Your Data. You are solely responsible for maintaining backups.
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless me from any claims, damages, losses, or expenses (including attorneys' fees) arising from:
- • Your use of RiskRegisterHQ Cloud
- • Your violation of these Terms
- • Your violation of any laws or regulations
- • Your infringement of third-party intellectual property rights
- • Your content or data uploaded to the Service
15. Termination
Termination by Me: I reserve the right to terminate or suspend your account immediately if you:
- • Violate any provision of these Terms
- • Engage in fraudulent, illegal, or abusive conduct
- • Fail to pay subscription fees after 30 days past due
- • Harass or abuse me or my staff
- • Pose a security or legal risk
Upon termination, your license ends immediately and you lose all access rights.

These Terms shall be governed by and construed in accordance with the laws of the Bahrain, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts in your state of residence.
